Envoy Textiles holds 30th AGM, approves 30pc Dividend

Envoy Textiles Limited, the world’s first LEED Platinum–certified denim manufacturing company, held its 30th Annual General Meeting (AGM) on Saturday, 6 December 2025, at 11:00 am at the Gulshan Shooting Club in Dhaka.

Shareholders of the company attended the meeting alongside members of the Board of Directors, senior management, and statutory auditors, in an atmosphere of constructive engagement and accountability. The event was chaired by the founder and Chairman, Engr. Kutubuddin Ahmed, with the Managing Director, Mr Tanvir Ahmed, also in attendance, according to a press release.

The AGM was conducted by Mr M Saiful Islam Chowdhury, FCS, Company Secretary of Envoy Textiles Limited, and was also attended by representatives of the Nomination and Remuneration Committee (NRC) and the Audit Committee.

At the meeting, shareholders received, considered, and adopted the Audited Financial Statements of Envoy Textiles Limited for the year ended 30 June 2025, along with the Reports of the Board of Directors and the Auditors. A 30 per cent dividend for the year ended 30 June 2025, as recommended by the Board, was also approved, reaffirming the company’s commitment to delivering long-term value to shareholders while maintaining a strong financial foundation.

Updating shareholders on company performance, Managing Director Mr Tanvir Ahmed said that Envoy Textiles Limited achieved more than double the profit of the previous year in the 2024–25 financial year, with net profit rising to approximately Tk 141 crore – the highest since the company’s inception. Earnings per share increased to Tk 8.40 from Tk 3.58 in the previous year, while net asset value per share rose to Tk 58.32 from Tk 51.93. Operating cash flow per share improved to Tk 4.77 from Tk 3.68, driven largely by higher profitability.

During the year, the company’s revenue reached Tk 1,862.48 crore, compared with Tk 1,426.14 crore in 2023–24, representing growth of 30.60%. Envoy Textiles sold 55.41 million yards of denim fabric in 2024–25, marking a 39.4% increase over the previous year, supported by rising global demand for denim products and expansion in sales.

Mr Ahmed stated, “In FY 2024–25 we significantly enhanced our overall business efficiency. Our revenue growth, effective cost management, and improved profitability demonstrate the strength of our business model. We are confident that the initiatives we have undertaken will continue to reinforce Envoy Textiles Limited’s position and deliver increased returns for our valued shareholders in the years ahead.”

In accordance with the provisions of the company’s Articles of Association and based on the Board’s recommendation, shareholders elected Mrs Sumayyah Ahmed, Mr Sunil Daulatram Daryanani, and Mr Md Moin Uddin as Directors of Envoy Textiles Limited.

The appointment of a female Independent Director Tanzina Haque, FCMA, Professor of the Institute of Business Administration (IBA), University of Dhaka, was also confirmed.

During her nomination, the Chairman noted that Professor Haque has served with distinction for over two decades and that her appointment strengthens the company’s commitment to good governance, diversity, and independent oversight at the board level.

Shareholders also approved the appointment of the company’s Auditors for the term ending with the 31st AGM and determined their remuneration. Additionally, the appointment of a Professional Accountant/Secretary for the year 2025–26 was endorsed.

With all agenda items unanimously passed, the AGM concluded with the Chairman expressing gratitude to shareholders for their continued trust and support in Envoy Textiles Limited’s sustainable growth journey in the global denim industry.
